SUPPLY AGREEMENT

1- PARTIES

3- SUBJECT OF THE AGREEMENT

The agreement involves the supplier providing technical materials and equipment for use at the Company's facilities, ensuring that these materials comply with the technical standards set by the Company, and defining the rights and obligations of both parties.

4- OBJECTIVES

The supplier will continuously supply the materials according to the technical specifications determined by the Company. The aim is to ensure that the needs of the YTS (Youth and Sports Directorates) are met reliably, affordably, and continuously.

5- JOB DESCRIPTION AND IMPLEMENTATION RULES

a) The Company will recommend the Supplier to the YTS (Yield Transfer Systems), but sole supplier guarantee is provided.
b) The Company may recommend other suppliers to the YTS if deemed necessary.
c) The Supplier must obtain the Company's technical approval for all products it sells.
d) Brand, model, and version changes cannot be made without the Company's written approval.
e) The Supplier shall maintain the stock levels specified in Annex 1 at all times.
f) The Supplier shall immediately notify the Company in writing in case of stock shortages or supply problems.
g) The Supplier is required to report its sales on a monthly/weekly basis.
h) The Supplier may not set prices above market rates.
i) If the Supplier does not sell materials with the technical specifications determined by the Company, the bank guarantee letter may be cashed.
j) In case of selling unapproved materials to the YTS, the Company may impose a penalty of 50% of the guarantee amount.

6- PRIVACY

The parties shall not disclose commercial and technical information obtained during the performance of this contract to third parties and shall adhere to confidentiality obligations.

7- GUARANTEE

The supplier shall provide an unconditional and irrevocable bank guarantee letter in the amount specified in Annex 1 at the time of contract signing .

8- NOTIFICATION ADDRESSES

The addresses provided above are for official notification purposes only, and any address changes will be notified via a notary public.

9- STAMP DUTY

Stamp duty and fees arising from this agreement shall be borne by the Supplier.

10- DISPUTES

First, the parties will attempt negotiations; if that fails, the …………… Courts and Enforcement Offices will have jurisdiction.

11- DURATION

This agreement enters into force on …/…/…. and is valid for … years. Unless either party gives written notice of termination at least 30 days prior to the expiration of the term, the agreement shall be extended for successive one-year periods.

12- TERMINATION CIRCUMSTANCES

a) If either party fails to fulfill its obligations within 15 days, the other party may terminate the contract.
b) In the event of bankruptcy, insolvency, or insolvency of either party, the contract may be terminated immediately.
c) In case of breach of obligation by the supplier, the security deposit will be converted into cash to compensate for the damages.
