Article 1 – Subject of the Agreement

The subject of this agreement is the delivery of the goods, offered for sale by the Seller to the Buyer on a sample basis and specified below, in accordance with Articles 229, 231 and 247 of the Turkish Code of Obligations, ensuring they are free from defects and conform to the contract, and regulating the rights and obligations regarding the payment of the purchase price.

Article 4 – Legal Nature of Sales Based on Samples

  1. The parties agree that the goods subject to sale must have the same characteristics as the sample (prototype) used as the basis for the conclusion of the contract (Turkish Code of Obligations, Articles 229, 231)

  2. The seller guarantees that the delivered goods conform to the sample.

  3. In the event of delivery of goods different from the sample or defective goods, the Buyer may exercise their optional rights in accordance with Articles 219 et seq. of the Turkish Code of Obligations:

    • Withdrawal from the contract,

    • Discount on the price,

    • Replacement with a faultless equivalent

    • Repair request.


Article 5 – Guarantee Against Defects

  1. According to Article 247 of the Turkish Code of Obligations, the seller is obligated to deliver the goods in accordance with the contract and the sample, and without defects.

  2. In the event of hidden defects discovered after delivery, the Buyer may exercise their optional rights based on Articles 231 and 223 of the Turkish Code of Obligations.

  3. The buyer is obligated to notify the seller of any apparent defects within 8 days of delivery. In the case of hidden defects, notification must be made immediately upon discovery, in accordance with Article 223/3 of the Turkish Code of Obligations.


Article 6 – Transfer of Ownership

The ownership of the sold item passes to the Buyer upon full payment of the purchase price.


Article 7 – Liability and Warranty

  1. The seller guarantees that the goods are his/her property and are not encumbered by the property rights of third parties.

  2. The seller is responsible for all damages arising from the goods not having the same characteristics as the sample.


Article 8 – Force Majeure

If the performance of the obligation becomes impossible due to unforeseen and unavoidable circumstances beyond the parties' control (such as earthquakes, floods, war, epidemics, etc.), the parties' obligations shall be suspended.


Article 9 – Resolution of Disputes

In case of disputes arising from this agreement, the Courts and Enforcement Offices of ……………… shall have jurisdiction.


Article 10 – Entry into force

This agreement was drawn up in two copies on ……/……/…… and entered into force upon being read and signed by the parties.
