Article 2: Subject of the Agreement
This agreement governs the rights and obligations of the parties regarding the protection of trade secrets, technical information, business plans, customer information, project details, and other confidential information provided by the Disclosing Party to the Buyer Party.
Article 3: Definitions
3.1. Confidential Information: Any commercial, technical, or financial information provided by the Disclosing Party to the Receiving Party in written, oral, digital, or other format.
3.2. Disclosing Party: The party sharing the confidential information.
3.3. Receiving Party: The party receiving the confidential information and obligated to protect it.
Article 4: Use of Confidential Information
4.1. The Buyer agrees to use the Confidential Information only for the purposes of this agreement.
4.2. The Buyer may not share, sell, or transfer the Confidential Information to third parties.
4.3. Confidential Information may only be shared with personnel necessary for the execution of the transactions under this agreement.
Article 5: Protection of Confidential Information
5.1. The Recipient Party shall take the necessary technical and physical security measures to protect the Confidential Information.
5.2. The Recipient Party shall not reproduce copies of the Confidential Information or the original documents without permission.
5.3. The Recipient Party shall immediately inform the Disclosing Party of any loss, theft, or unauthorized use of the Confidential Information.
Article 6: Exceptions
Confidential Information is considered exempt from confidentiality in the following cases:
6.1. If the information has become publicly available.
6.2. If the information was obtained legally from a third party.
6.3. If the information was shared with the written consent of the Disclosing Party.
6.4. If the information had to be disclosed due to a legal obligation (court order, etc.).
Article 7: Contract Term and Confidentiality Obligation
7.1. This contract enters into force on the date of its signing between the parties and will be valid for a period of … years.
7.2. In the event of termination of the contract, the Buyer's confidentiality obligation will continue for a period of … years.
Article 8: Return or Destruction of Confidential Information
8.1. Upon termination of the contract or upon request, the Buyer shall return all Confidential Information to the Disclosing Party or destroy it in accordance with written instructions.
8.2. Records of the destroyed information shall be provided to the Disclosing Party in writing.
Article 9: Sanctions in Case of Breach
9.1. If the Buyer uses or shares Confidential Information in violation of this agreement, it shall be liable to compensate the Disclosing Party for any direct damages incurred.
9.2. Legal action will be taken to determine and recover damages arising from the breach of confidentiality.
Article 10: Resolution of Disputes
10.1. Any disputes that may arise between the parties shall primarily be attempted to be resolved through conciliation.
10.2. In case conciliation cannot be reached, the ... Courts and Enforcement Offices shall have jurisdiction.
Article 11: Miscellaneous Provisions
11.1. This agreement cannot be amended without the written consent of the parties.
11.2. The provisions of this agreement also apply to the successors and representatives of the parties.
