BUYBACK AGREEMENT

Parties:

1. Seller: [Seller Name, Title and Address]

Article 1: Subject of the Agreement

This agreement sets forth the terms under which the Seller will sell [name, type and quantity of goods to be sold] (hereinafter referred to as "Goods") to the Buyer, ensuring the Buyer's return of the Goods after a specified period.

Article 2: Sale Price and Payment Terms

1. The sale price of the goods is [specified amount of money] (hereinafter referred to as "Sale Price"), and the Buyer shall pay this amount to the Seller on [payment date or payment schedule].
2. Payment will be made via [the specified payment method].

Article 3: Buyback Terms

1. The Seller shall grant the Buyer the right to reclaim the Goods under the following conditions: a. The reclaiming request shall be notified to the Seller in writing by the Buyer within [reclaiming period, e.g., 6 months, 1 year, etc.]. b. The reclaiming price shall be [reclaiming cost]. c. After the reclaiming request is made, the reclaiming of the Goods shall be completed within [specified date or period].
2. The seller reserves the right to approve or reject the return request. However, the return request must be fulfilled under the specified conditions.

Article 4: Condition and Delivery of Goods

1. Before the goods are delivered by the Seller to the Buyer, the Buyer acknowledges the condition of the goods and confirms that there are no defects or damages upon receipt.
2. Following a return request, the goods delivered by the Buyer will be accepted by the Seller in their original condition, and the return process will be completed.

Article 5: Taxes and Expenses

1. Taxes and all other expenses arising from the sale price shall be paid by the Buyer.
2. Any costs incurred during the buyback process will be borne by [the specified party].

Article 6: Termination of the Agreement

1. Either party may terminate this agreement by giving written notice to the other party if they breach the terms of the agreement.
2. In the event of termination of the contract, the Seller may claim the right of repurchase, but the full Purchase Price must be refunded.

Article 7: Resolution of Disputes

Any disputes arising from this agreement shall primarily be resolved through amicable settlement between the parties. If a settlement cannot be reached, the Istanbul Courts and Enforcement Offices shall have jurisdiction.

Article 8: Validity of the Agreement

1. This agreement shall enter into force on the date it is signed by the parties.
2. Each party declares that they have read, understood, and accepted all the terms of this agreement.

Article 9: Other Provisions

1. This agreement may be amended with the mutual written consent of both parties.
2. This agreement has been drawn up in duplicate, one copy given to the Buyer and the other to the Seller.
