1. PARTIES

The parties will hereinafter be referred to as "Rights Holder" and "Distributor" , respectively

2. SUBJECT OF THE AGREEMENT

This agreement defines the rights and obligations of the parties regarding the distribution and sale of the work titled [Title/Type of Work], created or published by the Rights Holder, within the region, country, or platform determined by the Distributor

The rights holder owns all intellectual property rights to the work, and this agreement covers only the right of distribution

3. DISTRIBUTION AND SALES TERMS

• The distributor is obligated to market, distribute, and sell the copyright holder's work in the designated region/platform
• Distribution will be carried out through the following methods:
  • Physical Sales: Bookstores, music stores, supermarkets, trade fairs, etc.
  • Digital Distribution: Online sales platforms, digital content stores, etc.
• The distributor will share the commission/royalty fees from sales with the Rights Holder based on a pre-determined rate

4. COPYRIGHT AND INTELLECTUAL PROPERTY OF THE WORK

• of the work belongs entirely to the Copyright Holder, and the Distributor may not infringe upon the intellectual property rights of the work.
• The distributor may not transfer or reproduce the work to third parties without permission from the copyright holder.

5. DURATION AND RENEWAL OF THE AGREEMENT

6. PAYMENT AND COMMISSION RATES

7. PARTIES RELATIONSHIP AND RESPONSIBILITIES

7.1 Obligations of the Rights Holder

• Submit the work to the Distributor in its entirety and in the specified format.
• Obtaining the necessary copyright and legal permissions for the work.
• To support the promotion of the work and provide the necessary materials.

7.2 Distributor's Obligations

• To effectively distribute and market the work in the designated regions.
• To regularly submit sales reports to the Rights Holder.
• To prevent the unlawful use of the work.

8. TERMINATION OF THE AGREEMENT

The contract may be terminated unilaterally in the following cases:

• One of the parties breaching the contract.
• The distributor's failure to make payment within the specified time.
• The rights holder may cancel or withdraw the publishing rights to the work.
• One of the parties goes bankrupt or enters liquidation proceedings.

Upon termination of the contract, the Distributor is obligated to return all works in its possession to the Rights Holder.

9. PRIVACY AND DATA PROTECTION

• The parties may not share the commercial and financial information obtained under this agreement with third parties .
• The distributor may only use customer data relating to the work with the permission of the Copyright Holder.
• This clause shall remain in effect even after the termination of this agreement.

10. RESOLUTION OF DISPUTES

• The parties agree to resolve any disputes arising from this contract primarily through negotiation
• In disputes that cannot be resolved through negotiation, the [City] Courts and Enforcement Offices have jurisdiction.

11. FINAL PROVISIONS
