2. SUBJECT OF THE AGREEMENT

THIRD PARTIES' RIGHTS AND OBLIGATIONS

3.1 Main Contractor's Responsibilities

• The main contractor is responsible for ensuring that the subcontractor's work is carried out in accordance with regulations.
• The contractor must provide the subcontractor with all necessary information, documents, and instructions in a timely manner.
• The Main Contractor has the right to supervise the Subcontractor's activities and request regular reports on the progress of the work.

3.2 Subcontractor's Obligations

• The subcontractor is obligated to complete the work specified in the contract fully and on time.
• Subcontractors are required to handle their employees' insurance procedures and comply with occupational health and safety regulations.
• The subcontractor agrees to avoid harming the environment during the works, to take occupational safety measures, and to comply with relevant legislation.
• The subcontractor will submit regular reports to the Main Contractor.

4. WORK COMPLETION AND DELIVERY CONDITIONS

• The subcontractor undertakes to complete the work within [X] days and deliver it to the Main Contractor.
• During the handover phase, the Main Contractor will inspect whether the work is complete and in accordance with the contract .

6. TERMINATION OF THE AGREEMENT AND PENALTY CLAUSES

6.1 Termination of the Contract

• If either party breaches the terms of the contract, the other party may terminate the contract unilaterally by giving written notice.
• If the subcontractor fails to complete the work within the time specified in the contract, the Main Contractor has the right to terminate the contract and claim damages.

6.2 Penalties

• The subcontractor agrees to pay a penalty of X% of the total contract price.
• If the main contractor fails to meet its payment obligation, daily late payment interest will be applied.

7. PRIVACY AND INTELLECTUAL PROPERTY RIGHTS

• The parties may not share the information they obtain under this agreement with third parties.
• The ownership of the work completed by the subcontractor shall belong to the Main Contractor and, unless otherwise specified, cannot be transferred to third parties.

8. RESOLUTION OF DISPUTES

• The parties shall endeavor to resolve any disputes arising from this agreement primarily through negotiation .
