This Ship Charter Agreementbetween the parties whose details are provided below, the Turkish Commercial Code No. 6102, the Maritime Trade Law No. 6762, and other relevant legislation , in order to define the rights and obligations of the parties.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1 Lessor's Obligations

• The vessel will be delivered to the Charterer on the specified date in seaworthy and operational condition.
• The Charterer shall provide all legal documents and licenses for the vessel in full.
• The Charterer is obligated to provide the Charterer with the vessel's insurance policies and maintenance records.
• While the vessel is chartered by the Charterer, the Charterer shall not interfere in crew or operational matters, except in cases of technical malfunctions of the vessel.

4.2 Tenant's Obligations

• The charterer shall use the vessel only for the purposes specified in the contract.
• The charterer shall operate the vessel in accordance with maritime law, international conventions, and the Turkish Commercial Code.
• The charterer is responsible for maintaining and cleaning the vessel.
• The charterer may not transfer or sublease the vessel to third parties.

5. PURPOSE OF RENTAL AND TERMS OF USE

• The charterer may not use the vessel for transporting hazardous materials, smuggling, or illegal activities.

6. TERMINATION OF THE AGREEMENT AND PENALTY CLAUSES

6.1 Early Termination of the Contract

• If one party breaches the terms of the contract, the other party may terminate the contract.
• If the charterer fails to pay the charter fee, the Charterer has the right to reclaim the vessel.

6.2 Penalties

• If the charterer intentionally damages the vessel, they are responsible for covering the repair costs.
• If the tenant wishes to terminate the contract unilaterally, they agree to pay a penalty of X% of the total rent.

7. RESOLUTION OF DISPUTES

• The parties shall endeavor to resolve any disputes arising from this agreement primarily through negotiation .

8. FINAL PROVISIONS
