TICKET SALES AND DISTRIBUTION AGREEMENT

This agreement has been concluded between them under the following terms and conditions.

Article 1 – Purpose

The COMPANY operates a distribution network that handles the sale and distribution of tickets for concerts, sporting events, theater performances, festivals, and similar events throughout Turkey.
The CUSTOMER will utilize the COMPANY's information, technology, and infrastructure to achieve widespread and efficient ticket sales for events held in the venues it operates.

Article 2 – Services

The COMPANY undertakes ticket sales and distribution services for events in the venues listed in Appendix 1.

To publicize event and ticket information,
Selling tickets through designated sales channels (physical box office, online platform, call center, etc.),
Reporting sales data regularly to the CUSTOMER.

The detailed sales program is in Appendix 2.

Article 3 – Technical Infrastructure

The CUSTOMERis responsible for providing the ticketing software and hardware for the venues.
The COMPANYwill install and operate the necessary gateway, data communication infrastructure, and ticketing machines to enable real-time ticket sales.
In the event of software changes, the COMPANY reserves the right to suspend service and reclaim equipment for the affected salon.
Maintenance, repair, and safety measures will be shared between the parties: Data communication infrastructure is the responsibility of the COMPANY; maintenance of in-venue equipment is the responsibility of the CUSTOMER.

Article 4 – Service Fee and Payment

The company will receive a commission of %…. on each ticket sold.
Commission amounts are reported monthly and paid to the COMPANY no later than the 15th of the following month.
Payments are made in Turkish Lira via bank transfer.
The parties may agree on different commission rates by written consent.

Article 5 – Time Limit

This agreement is valid for a period of …. years from the date of signature. Unless either party wishes to terminate the agreement, it shall be deemed renewed for a period of …. years under the same terms and conditions.

Article 6 – Termination

The parties may terminate the contract by giving at least 90 days' prior written notice
If one party seriously breaches its contractual obligations, the other party has the right to terminate the contract immediately.
In the event of termination, equipment and devices lent to the CUSTOMER by the COMPANY will be returned.

Article 7 – Confidentiality

The parties agree to keep each other's trade secrets, data, and customer information confidential throughout the term of this contract and thereafter.

Article 8 – Applicable Law and Competent Court

Turkish law shall apply to disputes arising from this agreement , and the Istanbul (Central) Courts and Enforcement Offices shall have jurisdiction

Article 9 – Entry into force
