PROJECT MONITORING AGREEMENT

PARTIES

Article 1 - This "Project Monitoring Agreement" is concluded between ……………………………….., residing at ……………………………… .. address (hereinafter referred to as " the COMPANY "), and ……………………………….. , residing at ……………………………… address (hereinafter referred to as " the PROJECT MONITOR "), under the following terms and conditions.

SUBJECT OF THE AGREEMENT

Article 2 - The subject of this agreement is the regulation of the principles regarding the monitoring, reporting, and auditing of the software development project named “…………………………………….” by the PROJECT MONITOR within the framework of the standards determined by the parties

REPORTING OBLIGATION

Article 3 -
The PROJECT MONITOR shall regularly evaluate the progress of the project and submit written reports to the COMPANY. These reports shall include:
a) a comparative assessment of the project status against planned objectives,
b) compliance with the project plan, justification for changes, and adequacy of resource management,
c) identification of risk factors that may hinder the successful completion of the process,
d) recommendations for the timely and efficient completion of the project
.

The company reserves the right to request interim reports when deemed necessary.

EXPENSE REPORTS

Article 4 -
Expenditure reports submitted to the COMPANY by the project manager will be reviewed by the PROJECT MONITOR, who will assess whether the report aligns with the project's objectives. If any discrepancies are found, the COMPANY will be notified in writing immediately.

SECURITY

Article 5 -
The PROJECT MONITOR agrees to keep confidential all information, documents, and data obtained within the scope of the project. This information will only be used for the performance of the tasks under this contract and may not be disclosed to third parties under any circumstances. In case of any contrary behavior, the PROJECT MONITOR is obliged to compensate the COMPANY for all damages incurred.

FEES AND EXPENSES

Article 6 -
The COMPANY will pay the PROJECT MONITOR a fee of ………………… TL for reporting services under this contract. Payments will be made via bank transfer within ……… days of the report's submission.
Travel, accommodation, and similar expenses incurred for project monitoring purposes will be paid separately in accordance with the Company's Travel Expenses Policy.

LIABILITY AND FORCE MAJEURE

Article 7
- In the event that the parties are unable to fulfill their contractual obligations due to force majeure (natural disaster, war, strike, pandemic, government decision, etc.), they shall notify the other party in writing without delay. The obligations of the parties shall be suspended during the force majeure period.

COMPETENT COURT

Article 8 -
In case of disputes arising from the application and interpretation of this agreement, the Courts and Enforcement Offices of ……………… shall have jurisdiction.

FORCE

Article 9 -
This agreement has been drawn up in ……… copies on …/…/20… and has entered into force after being read and signed by the parties.
