This agreement has been concluded between them under the following terms and conditions.

2. Subject of the Agreement

The subject of this contract is the timely, complete, and contract-compliant execution by the CONTRACTOR of the following project requested by the EMPLOYER

3. Project Scope and Duration

5.2. The CONTRACTOR undertakes to work in full compliance with these documents.

6. Materials, Equipment and Personnel

6.1. Responsibility for supplying materials and equipment: [Party to be selected – e.g., CONTRACTOR]
6.2. The CONTRACTOR is responsible for the social security registration and legal obligations of the personnel who will work on the project.

7. Work Control and Acceptance Process

7.1. The EMPLOYER may supervise the work throughout the project.
7.2. A final inspection will be carried out within 10 days after delivery. A grace period will be given for any incomplete/defective work.

8. Warranty Period

8.1. A technical warranty will be provided for a period of [e.g., 2 years] after the project is delivered . 8.2. Any structural or systemic failures that occur during this period will be repaired free of charge by the CONTRACTOR.

9. Delay and Penalty Clause

9.1. If delivery exceeds the contract period, the CONTRACTOR agrees to pay the EMPLOYER a penalty of [e.g., 1,000 TL] for each day of delay . 9.2. This amount cannot exceed 10% of the total project cost .

10. Termination of the Contract

10.1. If either party seriously breaches the terms of this contract, the other party may terminate the contract unilaterally by providing written notice.

10.2. In case of termination due to the fault of the CONTRACTOR, payments already made will be refunded, and another contractor may be appointed to complete any incomplete work.

11. Dispute Resolution

In the event of any dispute arising from this agreement, [for example: Istanbul Anatolian Commercial Courts and Enforcement Offices] shall have jurisdiction.

This agreement consists of 12 articles and the following annexes:
