Influencer and Social Media Advertising Agreement
INFLUENCER AND SOCIAL MEDIA ADVERTISING AGREEMENT
PARTIES This Influencer and Social Media Advertising Agreement is entered into between the parties: on one side, (“BRAND”) , operating at …………………………… address, registered with the …………………………… Trade Registry under registration number ……………, and liable for tax with the …………………………… Tax Office and tax number …………………………… ; and on the other side, (“INFLUENCER”) , residing at …………………………… address, with Turkish Republic Identity Number: …………………………… and producing content on social media platforms under the username …………………………… , under the following terms and conditions.
ARTICLE 1 – SUBJECT OF THE AGREEMENT
This agreement concerns the Influencer's promotion of the Brand's products or services through their social media accounts and the terms of this collaboration.
ARTICLE 2 – DEFINITION AND PUBLICATION OF CONTENTS
2.1. The influencer will share … posts, … stories, and … videos for the Brand's products/services . 2.2. The content will be prepared in accordance with the Brand's corporate identity. 2.3. The influencer is obligated to obtain approval from the Brand before publishing the content. 2.4. The content will be shared on ……… platforms (Instagram, TikTok, YouTube, X, etc.).
ARTICLE 3 – FEES AND PAYMENTS
3.1. The Brand will pay the Influencer ……………… TL + VAT under this agreement . 3.2. Payment will be made within ………… days following the publication of the content . 3.3. The Influencer cannot make any additional requests beyond this fee.
ARTICLE 4 – OBLIGATIONS OF THE PARTIES
Influencer's Responsibilities:

Avoid using language in content that could damage the brand image

Complying with the advertising regulations of the Advertising Board and the Ministry of Trade,

Clearly stating "#advertisement" or "#collaboration" in the content,

Sharing the content on the promised date.
Brand's Responsibilities:

Delivering the products to the influencer on time,

To provide content approvals within a reasonable timeframe

Paying the agreed fee on time.
ARTICLE 5 – COPYRIGHTS
5.1. The intellectual property rights of the content produced by the influencer belong to the influencer.
5.2. The brand may use this content free of charge for promotional purposes on its social media accounts and website.
5.3. A separate written agreement is required for licensing the content to third parties.
ARTICLE 6 – CONFIDENTIALITY
6.1. The influencer may not share any commercial information learned during the collaboration with third parties.
6.2. The confidentiality obligation continues even after the termination of the contract.
ARTICLE 7 – DURATION AND TERMINATION
7.1. This agreement will be valid from ……… dates.
7.2. If either party fails to fulfill its obligations, the other party may terminate the agreement by written notice.
7.3. In case of termination, the Influencer cannot claim payment for content that has not yet been published.
ARTICLE 8 – MISCELLANEOUS PROVISIONS
8.1. This agreement is the sole and final agreement between the parties.
8.2. Unless a change of address is notified in writing by either party, notifications sent to the existing addresses shall be deemed valid.
ARTICLE 9 – APPLICABLE LAW AND JURISDICTION
Turkish law shall apply to disputes arising from this agreement , and the Central Courts and Enforcement Offices of Istanbul shall have jurisdiction
