COPYRIGHT TRANSFER AND LICENSE AGREEMENT

PARTIES This
following parties: on one side, the AUTHOR, residing at …………………………… address, with Turkish Republic Identity Number: …………………………… (“AUTHOR”), and
on the other side, the LICENSEE/TRANSFEROR, residing at …………………………… address, registered in the …………………………… Trade Registry with registration number ……………, operating under the …………………………… Tax Office and tax number …………………………… (“LICENSEE/TRANSFEROR”),
under the following terms and conditions.

ARTICLE 1 – SUBJECT OF THE AGREEMENT

The subject of this agreement is the transfer or licensing of the financial rights of the work entitled …………………………… belonging to the Author, within the scope of the Law No. 5846 on Intellectual and Artistic Works.

ARTICLE 2 – DEFINITION OF THE WORK

2.1. The work subject to this agreement is …………………………… (book, software, music, photograph, design, etc.), and all rights to the work belong to the Author.
2.2. Original copies and digital copies of the work will be delivered to the Licensee for use within the scope of this agreement.

ARTICLE 3 – SCOPE OF RIGHTS

3.1. The Author transfers/licenses the following financial rights to the Licensee:

• Adaptation rights (the right to modify the work),

• Reproduction rights (all types of copying),

• Right of distribution (sale, lease, distribution),

• Right of representation (public presentation, exhibition, display),

• The right to public transmission by means of devices used for the transmission of signals, sounds and/or images.

3.2. The license transfer will be valid exclusively/non-exclusively for a period of ………………… years.
3.3. The Licensee may not make any unlawful dispositions of the work other than those stipulated in the Law on Intellectual and Artistic Works.

ARTICLE 4 – FEES AND PAYMENTS

4.1. The Licensee shall pay the Author ……………… TL in exchange for this agreement. 4.2. Payments will be made within ………………… days against invoice. 4.3. The parties may also agree that %…… of the revenue from sales shall be paid to the Author as royalties.

ARTICLE 5 – STATEMENTS AND WARRANTIES OF THE AUTHOR

5.1. The author declares that the work belongs to them and that it does not infringe the rights of third parties.
5.2. The author shall not transfer conflicting rights to third parties regarding the same work.
5.3. The author is responsible for any lawsuits filed alleging that the work is not original or that it infringes the rights of third parties.

ARTICLE 6 – LICENSEE'S STATEMENTS AND WARRANTIES

6.1. The Licensee shall use the work only for the purposes specified in this agreement.
6.2. The Licensee may not transfer or sublicense the work to third parties, except with the written consent of the Author.
6.3. The Licensee is obligated to mention the Author's name when making the work available to the public.

ARTICLE 7 – CONFIDENTIALITY

7.1. The parties may not share technical and commercial information related to the work with third parties.
7.2. The confidentiality obligation continues indefinitely.

ARTICLE 8 – DURATION AND TERMINATION

8.1. This agreement shall be valid for a period of ……… years.
8.2. If either party breaches its obligations, the other party may terminate the agreement by written notice.
8.3. In case of termination, the Licensee is obliged to return all copies of the work.

ARTICLE 9 – MISCELLANEOUS PROVISIONS

9.1. This agreement is the sole and final agreement between the parties.
9.2. In the event that either party fails to notify the other of any change of address, notifications sent to the existing addresses shall be deemed valid.
9.3. The parties may not assign this agreement without written consent.

ARTICLE 10 – APPLICABLE LAW AND JURISDICTION

Turkish law shall apply to disputes arising from this agreement , and the Courts and Enforcement Offices of …………………………… shall have jurisdiction
