ARTICLE 4 - SUBJECT OF THE AGREEMENT

The subject of this agreement is the allocation of the workshop within the Center to the Company for a specified period for the R&D project to be carried out under the support program, the determination of the terms of use of the allocated workshop, the regulation of participation shares in common and general expenses, the determination of the rights and obligations of the parties, and the agreement on eviction, supervision, termination, and liability provisions.

ARTICLE 7 - PERSONNEL INFORMATION

The company agrees that only the reported personnel will be present at the workplace; and that any personnel changes, including additions to or removals from the roster, will be reported to the Center in writing within a maximum of 3 business days


ARTICLE 8 - DAYS AND HOURS OF USE

The Center may make reasonable changes to operating hours due to security, maintenance, technical malfunction, administrative necessity, or extraordinary circumstances. Such changes will be notified to the Operator in advance.


ARTICLE 9 - CONTRIBUTION TO COMMON AND GENERAL EXPENSES

9.1.

The company agrees to pay a monthly contribution to General Expenses for the workshop and common areas allocated under this agreement

9.3.

9.4.

Contribution to general expenses; unless explicitly agreed upon in writing, covers the use of common areas, general building security, general cleaning, common electricity costs, use of common infrastructure, technical support, building operating expenses, and administrative services.

9.5.

Business-specific, measurable expenses exceeding normal usage such as electricity, water, natural gas, internet, waste disposal, private security, technical maintenance, equipment connection, laboratory infrastructure, and similar costs may be billed separately.

9.6.

In the event of default, the Company agrees to pay statutory default interest accruing from the due date to the actual payment date, without the need for prior notice.


ARTICLE 10 - DEPOSIT / SECURITY FEE

The Center may request a deposit/security payment of ……………… TL from the Enterprise if deemed necessary, to cover any damages that may occur at the workshop, missing equipment, unpaid contributions, or other debts.

This fee will be refunded upon termination of the contract and complete delivery of the work, after deducting any outstanding debts.


ARTICLE 11 - FIXTURES DELIVERED TO THE WORKSHOP

The desks, chairs, cabinets, shelves, appliances, meters, infrastructure equipment, keys, cards, security equipment, and other fixed assets delivered to the Enterprise are delivered together with the Fixed Asset Delivery Report, which is an annex to this agreement

Business;

  • He/She will use the delivered equipment carefully
  • that it will not be used for purposes other than its intended use,
  • not to transfer to third parties,
  • he would not take it out of the workshop,
  • that in case of damage, loss, deterioration or deficiency, the Center will be notified immediately

He/She accepts and undertakes.


ARTICLE 12 - COMMON USE FACILITIES

The following shared facilities are available for the business to utilize:

The center is authorized to determine usage rules regarding the capacity, safety, technical adequacy, and operation of common areas.


ARTICLE 13 - GENERAL OBLIGATIONS OF THE COMPANY

Business;

13.1. The allocated workshop will be used solely for the purpose of carrying out the R&D project covered by the support

13.2. The workshop will not be transferred to, leased, used by, or used by third parties, nor will it be used by sub-users

13.3. The Center shall comply with all rules set by the university, technopark, industrial site management, building management and relevant public institutions

13.4. The work carried out in the workplace will comply with legislation, public order, occupational health and safety rules, environmental legislation and technical safety standards,

13.5. The activities to be carried out in the workplace will be of a nature that will not cause fire, explosion, chemical leakage, environmental damage, danger to human health or endanger building safety,

13.6. He/She accepts all legal responsibility regarding the devices, machinery, chemicals, test equipment and similar items that he/she will keep in the workplace

13.7. He/She will not allow unauthorized persons to enter the workshop,

13.8. The contractor shall not carry out any activities within the workshop that may generate noise, odor, vibration, hazardous waste, radiation, electromagnetic risks, or similar situations without prior written permission

He/She accepts and undertakes.


ARTICLE 14 - OCCUPATIONAL HEALTH, SAFETY AND ENVIRONMENTAL OBLIGATIONS

14.1. The company is obligated to ensure that all personnel working in the workplace receive occupational health and safety training, to provide protective equipment in accordance with the legislation, and to take the necessary precautions.

14.2. If the business intends to use hazardous chemicals, flammable materials, pressure vessels, test equipment, or materials requiring special storage conditions due to its field of activity, it shall notify the Center in writing in advance.

14.3. Hazardous waste, electronic waste, chemical waste and similar materials will be separated, stored and disposed of in accordance with the relevant legislation.

14.4. The Company is responsible for work accidents, occupational diseases, environmental damage, damage to third parties, and administrative sanctions arising from its operations.


ARTICLE 15 - SECURITY MEASURES

The company is obligated to take the following measures for the safety of R&D activities and the building:

a. Prevent unauthorized access,
b. Safely store equipment used in the workshop,
c. Check power sources at the end of the workday,
d. Follow fire and emergency procedures,
e. Maintain the confidentiality of cards, keys, passwords, and access information,
f. Report suspicious incidents to the Center immediately.


ARTICLE 16 - INSURANCE

16.1. The company is obligated to obtain the necessary insurance for the devices, equipment, goods, samples, prototypes, and other materials it will keep in its workshop, in its own name and at its own expense.

16.2. The type, duration, and amount of insurance to be taken out by the company are specified below:

16.3. The Center cannot be held liable for any loss, theft, damage, fire, or other risks to the property and equipment belonging to the Enterprise, unless its own gross negligence is proven.


ARTICLE 17 - AUDIT AND REPORTING

17.1. The Center has the right to inspect whether the allocated workshop is being used in accordance with the contract.

17.2. The company shall provide the Center with information and documents regarding project progress, area used, personnel list, equipment list, and workshop usage upon request.

17.3. The company is obliged to provide the necessary cooperation during the audit and to provide the requested explanations.


ARTICLE 18 - CONFIDENTIALITY

18.1. The parties agree to protect each other's technical information, trade secrets, production data, project details, samples, prototypes, financial information, and all confidential information.

18.2. The Center will not disclose confidential technical data related to the Company's R&D project to third parties, except in cases of legal obligation.

18.3. The company may not share information regarding the Center's infrastructure, security system, shared usage organization, and other users with third parties.


ARTICLE 19 - STARTING THE PROJECT AND CONTINUING THE ACTIVITY

19.1. The company must commence R&D activities within ….. business days of notification of the support decision

19.2. If the Enterprise fails to commence the project within the specified period, fails to complete the establishment procedures, fails to engage in activities in accordance with the purpose of the allocation, or effectively abandons the support process, the Center may terminate the allocation with written notification.

19.3. In this case, the Company is obliged to vacate the premises within a maximum of ….. business days from the date of notification


ARTICLE 20 - PROHIBITIONS

The business may not operate without the written permission of the Center:

a. The workshop cannot be subleased or its use transferred.
b. Unlicensed, unauthorized, or illegal activities cannot be carried out in the workshop.
c. The workshop cannot be used as a warehouse, sales office, production facility, or commercial area other than R&D.
d. Signage, advertisements, promotional materials, equipment connections, or physical alterations cannot be made.
e. Common areas cannot be allocated for private use.
f. Personnel cannot be employed in the workshop in violation of regulations.


ARTICLE 21 - MAINTENANCE, REPAIR AND RENOVATION

21.1. Minor maintenance costs arising from normal use of the workshop are the responsibility of the Company.

21.2. Major repairs resulting from building infrastructure defects or faults of the Center will be covered by the Center.

21.3. The company may only carry out renovations, cabling, shelf fixing, equipment installation, installation work, wall drilling, additional power line installation, and similar operations in the workshop with the prior written approval of the Center.

21.4. Unauthorized changes will be reverted to their original state by the Center, and the cost will be collected from the Business.


ARTICLE 22 - DURATION OF THE AGREEMENT

This agreement enters into force on the date of signature and is valid until the end of the workshop allocation period. It may be extended by a written supplementary protocol, subject to mutual agreement of the parties and obtaining the necessary administrative approvals.


ARTICLE 23 - TERMINATION

The Center may terminate the contract unilaterally and immediately in the following cases:

23.1. Failure of the company to pay its participation fee for two consecutive months ,
23.2. Use of the workshop contrary to its intended purpose,
23.3. Allowing third parties to use the workshop,
23.4. Serious violation of safety, environmental, or occupational health regulations,
23.5. Termination of the project, cancellation, or withdrawal of support,
23.6. Bankruptcy, liquidation, inactivity, or inability to locate the company at its registered address,
23.7. Failure to remedy the violation despite a written warning from the Center.

The company may also request the termination of the contract with reasonable prior notice if there are justifiable reasons.


ARTICLE 24 - EVICTION AND RETURN

24.1. In the event of termination of the contract for any reason, the Company shall return the workshop empty, clean, in working order, and with all fixtures and fittings received.

24.2. All equipment, samples, documents, and other materials belonging to the company will be removed from the premises on the scheduled evacuation date.

24.3. If any deficiencies, damage, or deterioration are detected in the return report prepared during the evacuation process, the resulting damages will be collected from the Company.

24.4. In the event that the workshop is not vacated within the specified time, the Center may also demand daily usage compensation without the need for a separate warning.


ARTICLE 25 - LIABILITY AND COMPENSATION

25.1. The company is responsible for any damage it may cause to the Center, other companies, personnel, or third parties as a result of its own activities.

25.2. The Center's liability arising from this agreement is limited to damages directly caused by its own fault.

25.3. The company is directly responsible for its personnel, visitors, subcontractors, and other auxiliary personnel present on the premises.


ARTICLE 26 - PENALTY CLAUSE

If the Enterprise allows third parties to use the workshop, uses it contrary to its intended purpose, makes unauthorized alterations, creates a serious security breach, or fails to fulfill its eviction obligation within the stipulated time, a ……………… TL may be imposed, while the Center reserves the right to claim further damages.


ARTICLE 27 - NOTIFICATION

The addresses of the parties as stated in this agreement are their legal addresses for service of process, and notifications sent to these addresses shall be deemed valid unless any change of address is notified in writing.

Notifications sent via registered mail, hand delivery with signature, and corporate email are considered valid to the extent that they can be proven.


ARTICLE 28 - EVIDENCE AGREEMENT

The parties' books and records, bank records, payment receipts, camera recordings, security entry and exit data, delivery and return records, email correspondence, and technical reports can be used as evidence in disputes.


ARTICLE 29 - RESOLUTION OF DISPUTES

In case of disputes arising from the interpretation and application of this agreement, the Courts and Enforcement Offices of ………………………….. shall have jurisdiction.
