Freight Contracts in the Turkish Commercial Code: Types, Building Blocks, and Risk Management in Practice

This article explains the concept of freight contracts in the Turkish Commercial Code (Law No. 6102 ) ; voyage charter , time charter , bareboat/demise , liner, and container/multimodal models; the bill of lading relationship, the laytime-demurrage regime, and the carrier's liability within a practical framework.


1) Definition and Normative Position

A contract for freight is a contract concerning the carriage of cargo by sea , whereby the carrier undertakes the obligation to carefully safeguard and deliver the cargo from the beginning to the end of the voyage . The Fifth Book of the Turkish Commercial Code (Articles 931 onwards) introduces special provisions specific to maritime trade; therefore, in disputes concerning contracts for freight, the Turkish Commercial Code is applied primarily as the lex specialis . Disputes are generally heard in the Civil Commercial Courts ; in international transport, the choice of law and jurisdiction, as well as arbitration provisions (ISTAC, LMAA, ICC), determine the fate of the contract.

The main elements of a freight contract are:

  • Parties: Carrier – Consignee (shipper, consignee, charterer).

  • Subject: Transportation of cargo by sea.

  • Ship/voyage: Ship description, voyage route, loading/unloading ports.

  • Cost: Freight and incidental expenses (terminal, port, bunker arrangements, etc.).

2) Types: Charter Models and Liner Layouts

A) Voyage Charter

  • Summary: The carrier undertakes to transport the cargo in exchange for a specific number of trips ; the fee the freight.

  • Practical core:

    • NOR (Notice of Readiness), laytime , and demurrage calculations.

    • Deadfreight and FIO/FIOST (loading/stacking/unloading responsibility) clauses.

    • Suitability of loading/unloading ports, port obstacles , and force majeure regime.

  • Risk management: Voyage description must be clear, loading/unloading windows and weather/towage conditions must be open; delay risks must be limited to demurrage.

B) Time Charter

  • Summary: A charterer the time use ; the fee is **hire (rental fee)**. The ship remains under the management of the shipowner; the captain and crew are employed by the shipowner.

  • Typical ingredients:

    • Off-hire (periods when the vessel is out of service), speed and fuel consumption guarantees, trading limits (operating areas).

    • Bunker (fuel) delivery-return balancing, orders & employment (instructions to the captain).

  • Risk management: Deviations in speed/consumption, off-hire triggers, and restrictions on voyages in ice/dangerous waters should be detailed.

C) Bareboat/Demise Charter

  • Summary: The vessel, including its outfitting and operation , is placed with a charterer; the charterer acts as the de facto shipowner . This model is technically a ship charter agreement , not a freight contract .

  • Conclusion: Maintenance, classification, and insurance responsibility largely lies with the charterer; flag/classification requirements and personnel employment are planned accordingly.

D) Regular Line (Liner/Consignment) Transportations

  • Summary: The carrier transports containers, general cargo, etc., via scheduled services; the terms of the bill of lading, rather than the charter consignment , are decisive.

  • Weight of the bill of lading: Carrier's defenses, restriction clauses, Himalayan and jurisdiction clauses are prominent here.

E) Container and Multimodal/Through Transport

  • Summary: Multiple modes of transport (sea + land/rail) can be included under a single contract.

  • Note: the maritime leg of the Turkish Commercial Code , different regimes may apply to other legs; the cargo damage assessment.


3) Bill of Lading – Intersection Point of Charter Partitions

The bill of lading is the heart of the freight relationship , serving as proof of the carriage contract and a valuable document granting rights over the goods

  • Charterers' Bill of Lading (B/L): In a bill of lading issued under a charter, the charter terms can be incorporated as a "paramount clause"

  • Delivery and possession: The transfer of bills of lading, delivery instructions, and "release" processes are a major source of disputes in daily practice.

  • Electronic Bill of Lading (eB/L): Platform rules, agent instructions, and bill of lading terms synchronized .


4) Laytime – Demurrage Regime

  • Laytime: The agreed-upon time for loading/unloading. Its commencement is usually the NOR (Order), the seaworthiness of the vessel and cargo, and the availability of the dock.

  • Demurrage: Predetermined compensation for delays exceeding laytime (often based on the "liquidated damages" model).

  • Despatch: A bonus paid for saving time .

  • Good practice: Hour-day calculations (weather working day, SSHINC, all purposes) should be clearly stated; exceptions (weather, strikes, port congestion) should be explicitly regulated.


5) Carrier's Liability within the Framework of the Turkish Commercial Code

  • Suitability: The ship seaworthy and fit for the cargo ; adequate equipment and crew.

  • Duty of care: of the cargo and its delivery without damage; techniques such as stowage/ventilation/heating are carried out in accordance with contract and custom.

  • Loss, damage, and delay: The carrier is liable, except for certain exceptions; the burden of proof is determined by the terms of the bill of lading and charter.

  • Limitation of liability: In the special regime of maritime law, limitation mechanisms and of a limitation fund are evaluated.

  • Time limits: Notice and statute of limitations periods are determined according to the contract and specific regulations in the Turkish Commercial Code.


6) Four Critical Steps in Implementation (Checklist)

  1. Fixture & Recap Verification: Are the recap agreements consistent with the legal text? Are the jurisdiction/arbitration, choice of law, and forum clear?

  2. Laytime/DEM Formula: the NOR validity conditions, the “all purposes vs. reversible” calculation technique, and exceptions been written down?

  3. Bill of Lading Synchronization: How do the bill of lading clauses integrate the charter? the delivery/release steps compatible with electronic processes?

  4. Security and Guarantee: Are the P&I correspondence , Letter of Undertaking (LOU) , and precautionary attachment strategy (if necessary) ready for demurrage and damage claims ?


7) Conclusion: Correct Type + Clear Clauses = Predictable Outcome

Freight contracts offer a predictable risk architecture thanks to the special regime of the Turkish Commercial Code . By choosing the correct model (voyage, time, bareboat, liner, multimodal), clearly defining laytime-demurrage calculations and bill of lading processes, delays, damages, and delivery disputes become measurable . In the event of a dispute , arbitration/jurisdiction , security/LOU , and precautionary attachment instruments provide an effective set of solutions.
